Terms & Conditions of Sale

These Terms & Conditions of Sale ("Terms") govern the sale of products by Surgix Instruments ("Surgix Instruments", "we", "our", or "us") to customers ("Customer", "you", or "your"). By placing an order with Surgix Instruments, you agree to be bound by these Terms.

1. Orders

All orders are subject to acceptance by Surgix Instruments.

We reserve the right to:

  • Accept or decline any order.
  • Limit order quantities.
  • Request additional information before processing an order.
  • Cancel an order where pricing or product information contains an obvious error.

An order is considered accepted once we issue an order confirmation or dispatch the goods.

2. Product Information

We make every reasonable effort to ensure product descriptions, images, specifications, and pricing are accurate.

However:

  • Product images are for illustration purposes only.
  • Colours and finishes may vary slightly.
  • Specifications may change without prior notice as part of ongoing product improvements.

Customers are responsible for ensuring products are suitable for their intended application before purchase.

3. Pricing

Unless otherwise agreed in writing:

  • Prices are quoted in the applicable currency.
  • Taxes, customs duties, import charges, and shipping costs are excluded unless stated otherwise.
  • Prices may change without notice before an order is accepted.

Pricing errors may be corrected before dispatch.

4. Payment

Payment terms will be agreed before shipment.

Accepted payment methods may include:

  • Bank Transfer
  • Credit or Debit Card
  • Approved Trade Account
  • Other payment methods offered by Surgix Instruments

Late payments may result in delayed shipment or suspension of future orders.

5. Delivery

Delivery dates are estimates only.

While we make every effort to dispatch orders promptly, we shall not be liable for delays caused by:

  • Customs clearance
  • Shipping carriers
  • Force majeure events
  • Supplier delays
  • Circumstances beyond our reasonable control

Risk in the goods passes to the customer upon delivery to the agreed delivery location or collection point, unless otherwise agreed in writing.

6. Inspection of Goods

Customers should inspect goods promptly upon receipt.

Any shortages, damage, or incorrect items should be reported in writing within 7 days of delivery.

Failure to notify us within this period may be treated as acceptance of the goods, subject to your statutory rights where applicable.

7. Returns

Returns are accepted only with prior written authorisation from Surgix Instruments.

Returned products must:

  • Be unused unless returned because of a manufacturing defect.
  • Be in their original packaging where reasonably possible.
  • Be returned in a condition suitable for inspection.

Custom-manufactured, engraved, OEM, and private-label products are generally non-returnable unless faulty or otherwise required by applicable law.

8. Warranty

Surgix Instruments warrants that its products will be free from manufacturing defects at the time of delivery.

This warranty does not cover damage caused by:

  • Improper use
  • Incorrect cleaning or sterilisation
  • Normal wear and tear
  • Accidental damage
  • Unauthorised modification
  • Improper maintenance

If a manufacturing defect is confirmed, we may, at our discretion:

  • Repair the product
  • Replace the product
  • Refund the purchase price

This warranty is provided in addition to any statutory rights that cannot be excluded by law.

9. Product Use

Our products are intended for professional use by appropriately trained individuals where applicable.

Customers are responsible for:

  • Selecting suitable products
  • Using products correctly
  • Following applicable cleaning, sterilisation, maintenance, and safety procedures
  • Complying with all applicable local laws and regulations

10. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot legally be excluded under applicable law.

Subject to that:

  • Surgix Instruments shall not be liable for indirect, incidental, special, or consequential losses, including loss of profits, business interruption, or loss of opportunity.
  • Our total liability arising from any order shall not exceed the amount paid for the relevant products.

11. Intellectual Property

All trademarks, logos, product names, website content, catalogues, photographs, and marketing materials remain the intellectual property of Surgix Instruments or their respective owners.

They may not be copied, reproduced, or distributed without prior written permission.

12. OEM & Private Label Orders

For OEM, custom manufacturing, and private-label projects:

  • Specifications must be approved by the customer before production.
  • Production begins only after final approval and agreed payment terms.
  • Custom products cannot normally be cancelled once production has commenced.
  • Customers are responsible for ensuring their branding does not infringe third-party intellectual property rights.

13. Export Sales

International customers are responsible for ensuring products comply with import requirements in their destination country unless otherwise agreed.

Customers are responsible for:

  • Import licences (where required)
  • Customs duties
  • Taxes
  • Local regulatory requirements

14. Force Majeure

Surgix Instruments shall not be liable for delays or failure to perform obligations caused by circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters
  • Fire
  • Flood
  • War
  • Civil unrest
  • Pandemic
  • Industrial disputes
  • Government restrictions
  • Transportation disruptions

15. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws applicable to the jurisdiction in which the contracting Surgix Instruments entity is established, unless otherwise agreed in writing or required by mandatory consumer protection laws.

Any disputes shall be subject to the jurisdiction of the competent courts of that jurisdiction.

16. Changes to These Terms

We may update these Terms & Conditions from time to time.

The latest version will always be published on our website and will apply to new orders placed after publication.
